Terms of Service — Hirly Partners

Welcome to the Hirly Partner Portal (the "Portal"), operated by Holdcrest Inc. ("Hirly", "we", "us"). By accessing or using the Portal you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Portal.

1. Eligibility

To use the Portal you must be at least 18 years old and legally capable of entering into a binding agreement. You are responsible for ensuring your use of the Portal complies with the laws that apply to you.

2. Your account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

3. Partner program

Applications submitted through the Portal are reviewed by Hirly and are not guaranteed to be approved. The specific commercial terms of the partner relationship — including commission percentages, caps, and payment cadence — are governed by the separate Partner Agreement you sign during onboarding.

4. Acceptable use

Do not misrepresent yourself, your employer, or the companies you introduce.
Do not upload or transmit content that is unlawful, infringing, defamatory, or harmful.
Do not attempt to interfere with, reverse-engineer, or gain unauthorized access to any part of the Portal or its underlying systems.
Do not use the Portal to send unsolicited communications to third parties.

5. Intellectual property

The Portal, including its design, content, trademarks, and software, is owned by Hirly and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Portal solely for its intended purpose.

6. Third-party services

The Portal integrates with third-party services (such as authentication and hosting providers). Your use of those services may be subject to their own terms and privacy policies.

7. Disclaimers

The Portal is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Portal will be uninterrupted, secure, or error-free.

8. Limitation of liability

To the maximum extent permitted by law, Hirly and its affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Portal. Our aggregate liability for any claim relating to the Portal is limited to the greater of (a) the amounts paid to you under the partner program in the twelve months preceding the claim, or (b) US$100.

9. Termination

You may stop using the Portal at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Portal. Provisions that by their nature should survive termination will survive.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated through the Portal or by email. Your continued use of the Portal after changes take effect constitutes acceptance of the updated Terms.
